Cool Online Offers is an affiliate program that pays you each time a surfer installs our software on their computer. You promote our software by advertising our free download offers (e.g., emoticons/smilies, screen savers, toolbar, etc.). We supply various banners for you to achieve this goal.

After you have selected and added the codes/banners to your pages, and your surfer clicks on them, it will prompt them with the choice of installing the applicable free offer package. If your surfer accepts, they will receive their free offer package and you will be paid. We also provide detailed statistics in order for you to track and monitor installations and revenue earned.

Our payout schedule works as follows: Pay Period one is the 1st through the 15th of each month. Pay Period two is the 16th to the end of the month. Pay period one is mailed on the 1st of the following month and pay period two will follow on the 16th of that month. For example, if you are looking for your check from August 16th, it will be mailed on September 16th. Please note: you will only be sent a check if your account has accrued the minimum pay out of $50.00. Should this amount not be met, it will remain in your account and carried over until that total is reached. All checks will be drawn on a U.S. bank in New York.

We also pay by Wire or ePassporte. Affiliate Members that would like to be paid by wire must meet an amount of $1000 before a wire is issued. Once your account has been switched to pay by wire, we will hold all funds until the $1,000 mark is met, and then send the wire. Affiliate Members that would like to be paid via Pay Pal will be paid on the same schedule as checks. If you would like to be paid by wire or Pay Pal, simply contact Accounting with your request to be switched off of check payment.

COOL ONLINE OFFERS will grant to you A LIMITED AND NON-EXCLUSIVE, ROYALTY FREE LICENSE TO DISPLAY COOL ONLINE OFFERS ADVERTISEMENTS AND OTHER COOL ONLINE OFFERS PROPRIETARY TECHNOLOGY (HEREINAFTER REFERRED TO INDIVIDUALLY OR IN COMBINATION AS "SOFTWARE PROPERTY") ON “Affiliate” WEB SITES ONLY, AND ONLY IN ACCORDANCE WITH THIS AGREEMENT.

Permitted Usage

The Affiliate may display the Cool Online Offers technology only in the size and manner and with approved materials provided by Cool Online Offers. You may not display misleading text or advertisements, and absolutely no blind links. Cool Online Offers reserves the right to discontinue or withhold payments to any party or entity that are in violation of this agreement.

The Affiliate also acknowledges that the Cool Online Offers technology is proprietary software developed by Cool Online Offers.

Affiliate acknowledges that all rights to this agreement will be null and void should this contract be violated.

Zero Tolerance

Cool Online Offers has a Zero Tolerance Policy. This means that spamming, hacking, tampering, and/or causing any sort of damage to the software or the company (Cool Online Offers) will result in immediate termination of your account. Any other actions that were not included in the aforementioned list but can cause damage to the company and its reputation will be considered immediate grounds for terminations. You (the affiliate) will be responsible for any and all damages occurred from the above statements, and also may be prosecuted for any law violations and payments for any period of time even retroactively.

Cool Online Offers does not accept any form of email SPAM, you are not permitted to email market this product without the expressed permission of Cool Online Offers. Without limitation, affiliates account may be terminated, payment withheld, and action taken.

Cool Online Offers may also use this Zero Tolerance policy to reinforce other terms within this agreement. Cool Online Offers will also terminate your account should; (1) any content, goods, services, or links displayed on or made available through or in connection with Affiliates website(s) are illegal, obscene, indecent, vulgar, offensive, dangerous, or are otherwise deemed inappropriate; or that “Affiliate” or “Affiliates” web site(s) violates, has violated, or threatens to violate the terms and conditions of this Agreement or the spirit behind them.

Cool Online Offers Responsibilities

Cool Online Offers will provide Affiliates with a user ID and password to access online statistical information such as download stats, revenues paid and also to retrieve approved marketing tools. The Affiliate understands and agrees that Cool Online Offers agrees to pay its Affiliate for installations only, and only for traffic coming from the following countries: ARGENTINA, AUSTRALIA, BRAZIL, BELGIUM, CANADA, DENMARK, FINLAND, GERMANY, GREECE, GREENLAND, ICELAND, IRELAND, ITALY, NEW ZEALAND, NORWAY, PORTUGAL, SPAIN, SWEDEN, SWITZERLAND, UNITED STATES, UNITED KINGDOM, but also reserves the right to hold payment should this contract be in violation.

Affiliate Responsibilities

Affiliate shall provide users of their website the option to install ad-ware programs. Affiliate shall not modify the Intellectual Property, which has been licensed to affiliate. Affiliate is responsible for the creation, maintenance, and content of their website.

Compensation

Cool Online Offers agrees to pay its Affiliate for installations only, and only for traffic coming from approved countries. The webmaster (affiliate) is paid 0.15$ per installation.

Cool Online Offers is not responsible to credit the webmasters for any sales made between the surfer and the advertiser using the Cool Online Offers Software Property. The affiliate (you) is paid strictly on the installment of the SOFTWARE PROPERTY.

Only affiliates who comply with this agreement will be paid. Payments are issued on the 1st and 16th of every month. A minimum balance of $50 is required before a payment is sent.

Ownership of Intellectual Property

“Affiliate” agrees that this limited license to display “Cool Online Offers”" Intellectual Property inures to the benefit of “Cool Online Offers”. All good will or reputation generated by display of “Cool Online Offers”" Intellectual Property shall automatically vest in and shall remain the property of “Cool Online Offers”. “Affiliate” agrees not to contest, in any court or other jurisdiction, the validity of any of the “Cool Online Offers” Intellectual Property, including, but not limited to, “Cool Online Offers”" trademarks, service marks or trade names. During the term of this Agreement, “Affiliate” shall not adopt, use, register, or apply for registration of, whether as a corporate name, trademark, service mark or other indication of origin, any of the “Cool Online Offers” trademarks, service marks or trade names, or any word or mark confusingly similar to them in any jurisdiction.

Representations and Warranties

Cool Online Offers fully represents and warrants that it has the authority to enter into this affiliate program agreement. You (the affiliate) fully represent and warrant to us that this agreement has entered into under your full power and authority. You agree that you are in full legal capacity and power to enter into this agreement.

Further, you represent and warrant that your web site does not violate applicable laws or regulations nor does it infringe or violate any copyright, patent, or trademark, or otherwise violate or breach any duty toward, or rights of any person or entity.

Cool Online Offers does not warrant or represent that the SOFTWARE PROPERTY will meet all or any of your or requirements, or that the will be free from error or uninterrupted. Cool Online Offers makes no warranty of any other kind, expressed or implied.

Limitation of Liability

Cool Online Offers will not be liable for any damages or any loss of revenue, profits, or data in connection to the program or this agreement. Furthermore, Cool Online Offers shall not be liable for any reason due to failure or delay in the performance of its obligations on account of strikes, shortages, riots, insurrection, fires, flood, storm, explosions, earthquakes, internet outages, acts of God, war, governmental action, or any other cause that is beyond the control of Cool Online Offers. Cool Online Offers does not warrant that the SOFTWARE PROPERTY will meet any or all of your (the affiliates) needs, or that the SOFTWARE PROPERTY will be free from errors and uninterrupted. Cool Online Offers does not make or imply any warranties of any kind; expressed or implied.

Indemnification

As an affiliate, you acknowledge and agree to indemnify and hold Cool Online Offers harmless, from and against any claims, losses, liabilities, damages or expenses (including Legal fees) of any nature whatsoever resulting from a breach of any warranty, representation or covenant made by you (the affiliate) under this Agreement; or arising from any action against Cool Online Offers arising from your (the affiliate) use or display of Cool Online Offers Intellectual Property or arising from any breach by you (the affiliate) of any of the provisions or requirements of this Agreement. “Cool Online Offers” shall not be liable for any reason including but not limited to any failure or delay in the performance of its obligations on account of strikes, shortages, riots, insurrection, fires, flood, storm, explosions, earthquakes, Internet outages, acts of God, war, government action.

Changes of Agreement / Technology

Cool Online Offers reserves the right to change the terms of this agreement without any notice. Further, Cool Online Offers reserves the right to make changes to the SOFTWARE PROPERTY without any notice.

Relationship Between the Parties

This Agreement shall not be altered or construed to create a joint venture or partnership between the parties. Neither party shall be deemed to be an employee, agent, partner nor legal representative of the other for any purpose; and neither shall have any right, power or authority to create any obligation or responsibility on behalf of the other.

Agreement

This Agreement constitutes the entire understanding between Cool Online Offers and the affiliate and supersedes all previous agreements between Cool Online Offers and the affiliate.

Online consumer privacy is of the utmost importance to Cool Online Offers, its subsidiaries, advertisers, and Web publishers in our network. The following statement outlines Cool Online Offers policies regarding online privacy. Cool Online Offers is committed to protecting the privacy of consumers, publishers, and advertisers, and to play a positive role in promoting the integrity of the Internet.

Due to the changing nature of consumer needs and our business itself, Cool Online Offers reserves the right to modify or change this privacy policy statement at any time without notice. Consequently, we advise that you review this privacy policy statement from time to time to note any amendments and/or additions that may have transpired.

Cool Online Offers does not collect non-personally identifiable information from our clients or users. Non-personally identifiable information is also known as "demographic data” and includes, but is not limited to, the following: age, gender, and income bracket.

Cool Online Offers collects personally identifiable data from all Web sites (specifically their owners) wishing to join our network. The gathering of this information is a part of normal business practices. Clients wishing to join the Cool Online Offers network may be asked to provide personally identifiable data through the sign up and registration process at our Web site. Examples of personally identifiable data that may be requested include, but is not limited to, the following: name, address, telephone number, e-mail address, social security number, tax ID number, etc. Cool Online Offers will never request or accumulate data from a client on subject areas including sexual orientation, political affiliation, religious affiliation, medical data, etc.

Cool Online Offer does not use any personally identifiable data about a client for the purpose of “profiling.” Any and all personally identifiable information that Cool Offers Online obtains from our clients is principally intended for our internal administrative requirements (e.g., accounting and pay-outs), for which purpose said data is considered required.

From time to time, Cool Online Offers may want to communicate with our network of hosts via email or other mediums to offer marketing data and other sundry communications to aid in business related activities. In these instances Cool Online Offers may potentially access a clients' aforementioned personally identifiable information. In the event that a client of Cool Online Offers wishes not to have their personally identifiable information used for such purposes, said clients can choose to opt-out from future communications.

Any and all personally identifiable information provided by any of our clients will be held in strict confidence by Cool Online Offers and same will be treated with the equivalent amount of respect and consideration that Cool Online Offers treats any of its material internal information. Cool Online Offers will refrain from selling, renting, exchanging, or bartering any personally identifiable client information to or with any and all third parties for monetary gain and/or marketing reasons. Periodically, Cool Online Offers may provide such information to certain third party administrative vendors for efficiency reasons in giving specific and legitimate administrative services (e.g., billing, delivery, payouts, etc.). Any third party vendor used in said manner will be required to enter into a confidentiality and/or non-disclosure agreement(s) with Cool Online Offers in accordance with the policies listed herein.

Cool Online Offers is a proponent of online privacy and we are dedicated to ensuring that clear notice and choice is provided to all clients before any personally identifiable information is used for any purposes other than for what was originally proposed.

When a client joins Cool Online Offers’ network and signs up for our services services, personally identifiable information is a required component of doing business. Cool Online Offer’s key goal in collecting said personally identifiable data is for use in administrative purposes (e.g. accounting, payouts, etc.). Having said that, Cool Online Offers may, from time to time, use personally identifiable data for marketing and/or communication purposes targeted to our specific clients. Clients wishing not to receive said communications from Cool Online Offers may do so by contacting us to opt-out.

When a Cool Online Offers client logs in to the Cool Online Offers reporting system(s), a cookie may be placed in their computer. A cookie is merely a unique tag that is given to the client to identify individual computers. The purpose of this cookie is to enable Cool Online Offers to authenticate the identity of the client, in addition to maintaining the security and privacy of said client’s account information. Said cookie may be required to log into Cool Online Offers reporting system(s).

Cool Online Offers will make every reasonable effort to preserve the security of its network and all the information we amass. Any and all data that is stored on our server(s) is regarded as extremely confidential and is not accessible to the public at large. Cool Online Offers employs a stringent internal policy with regards to said customer confidentiality (and other sundry information), thereby limiting access only to Cool online Offers employees and/or third parties who have a reasonable need to be privy to such data for the express purpose of efficiently providing Cool Online Offers’ various products and/or services.

Cool Online Offers may enable clients that have provided personally identifiable information, to access said information to ensure that it is accurate and to make any amendments and/or additions going forward with their Cool Online Offers account.

Cool Online Offers requests that Web site publishers belonging to our advertising network consent to and comply with the standards of online privacy, as outlined by the Online Privacy Alliance (OPA) and Network Advertising Initiative (NAI).

Cool Online Offers encourages all websites within our network create privacy policies and provide said policies to their clients (with prominent access to their statements). Moreover, Cool Online Offers requests that all Web site publishers conducting business with Cool Online Offers disclose any and all information and/or data that is being amassed from clients on their respective Web sites. This includes data assembled from any forms of advertising being served on their Web site. Cool Online Offers encourages the Web sites in our network to present links to all advertisers gathering information from clients in their respective privacy policies.

As of April 21, 2000 the children's Online Privacy Protection Act became effective. The regulations apply to the online collection of personal information from children under the age of 13. Cool Online Offers is quite sensitive to the issue of children's privacy and makes every reasonable effort to protect the privacy of children using the Internet. Cool Online Offers’ Web site, products and/or services are not developed for and/or directed at children. Our policy is not to allow anyone under the age of 13 to conduct business with us. If you believe your child has provided Cool Online Offers with any personally identifiable data by registering at Cool Online Offers’ Web site, please contact us to ensure timely removal of said data.

We also request that all other Web sites using our network disclose in their privacy policies any and all data pertaining to the collection of information from children.
